
Alliance Engage
General Terms and Conditions
These Terms and Conditions (“Terms”) govern all advertising and monetisation services (“Services”) provided by Independent Publisher Alliance Ltd (“We”, “Us”, or “Our”) under the Alliance Engage program.
By participating in Alliance Engage or signing an associated Insertion Order (“IO”), each participating publisher (“You”, “Your”, or “Publisher”) agrees to be bound by these Terms.
1. Scope of Services
We represent and monetise participating publishers’ digital advertising inventory through:

Direct sold campaigns
-
Programmatic private marketplaces (PMPs)
-
Branded or sponsored content activations
Each campaign or monetisation activity governed by an IO referencing these Terms is subject to these provisions.
2. Representation and Rights
You grant Us a non-exclusive right to market, sell, and manage advertising placements across agreed inventory, formats, and channels.
This may include display, video, native, or branded content formats specified in the IO.
We act as a sales intermediary, not as an agent or principal in the sale of media inventory unless otherwise stated in writing.
3. Revenue Share, Commercials and Payment Terms
Publisher revenue share percentages, commercial fees, incentives, and any campaign-specific financial terms will be specified in the applicable Insertion Order (“IO”).
The IO governs all commercial arrangements relating to revenue distribution. The Alliance Engage Terms govern all legal, operational, and compliance matters.
In the event of any conflict, the IO shall prevail with respect to commercial terms only.
You further agree that Alliance Engage shall have no obligation to issue any Payment(s) to you if Alliance Engage has not received remittance from the relevant Supplier(s) of Advertising of all monies due to Alliance Engage. Alliance Engage embraces the responsibility to control the billing process and the procedure of payment collection from the Advertiser to make it timely and unobstructed. In the event of such non-payments or bad debts, Alliance Engage reserves the right to offset future Payments to you or invoice you for such amount owed in its sole discretion. Your recourse for any such adjustment due to non-payment shall be to make a claim against the relevant Supplier(s) of Advertising, and Alliance Engage disclaims any and all liability for such Payments.
4. Campaign Execution
You agree to deliver campaigns in accordance with agreed specifications, including implementing ad tags, enabling PMP access, and publishing any sponsored or branded content as instructed.
Failure to deliver as agreed may result in partial or full withholding of payment for the affected campaign.
5. Reporting
We will provide regular reporting on campaign performance and associated revenues, typically on a monthly basis.
Reports will be deemed accurate unless disputed in writing within 14 days of delivery.
6. Term and Termination

Each IO is valid for its stated duration.

Either party may terminate participation in Alliance Engage with 30 days’ written notice.

We may suspend or terminate participation immediately in cases of fraud, material breach, or reputational harm.
7. Independent Publisher Alliance Membership
Alliance Engage is operated by the Independent Publisher Alliance.
Participation is reserved for members only.
8. Brand Safety and Legal Compliance
You must maintain a brand-safe environment and comply with all applicable UK laws and regulations, including:

The UK GDPR and Data Protection Act 2018

Advertising Standards Authority (ASA) guidelines

IAB UK and industry best practices
We are not liable for any claims, damages, or penalties arising from Your content, data handling, or other publisher-side activities.
9. Data and Privacy
All campaign and performance data processed within Alliance Engage is limited to on-page, contextual, or aggregated data.
No personally identifiable information (PII) is collected, stored, or transmitted.
We and our technology partners process such data solely for campaign targeting, optimisation, measurement, and reporting.
If at any point personal data is introduced into the process, We will ensure appropriate data processing agreements and safeguards are in place.
10. Data Protection and Sub-Processing
For the purposes of Alliance Engage:

Independent Publisher Alliance Ltd acts as the data controller (or, where applicable, joint controller) for campaign monetisation and analytics.

We may appoint data processors and sub-processors, including Nodals.ai, The Outcome Network, and Avid Technology, to process data under Our direction.

All sub-processing is governed by written agreements ensuring compliance with data protection laws and equivalent security standards.

Publishers are not required or permitted to enter into direct agreements with these partners in relation to Alliance Engage.

All sub-processors are responsible for adhering to appropriate data protection obligations.
11. Use of Technology Partners
Alliance Engage uses third-party technology partners, including Avid Technology (Avid PubSuite), to deliver campaign management, workflow, and reporting functionality.
By participating in Alliance Engage, publishers consent to the use of these platforms for campaign execution and reporting.
The Alliance is not liable for downtime, delays, or system errors arising from third-party technology. In the unlikely event that this occurs please contact engage@the-alliance.co.uk
12. Platform Access and Data Use
Publishers may be provided limited access to technology tools (such as Avid PubSuite dashboards) for campaign and performance tracking.
Such access:

must be used solely for Alliance Engage purposes;
-
is non-transferable and may be withdrawn at any time; and
-
must comply with any applicable usage policies provided by the Alliance or its partners.
Publishers are responsible for ensuring that all content, data, and materials uploaded or shared through these tools are lawful, accurate, and compliant with applicable regulations.
13. Data Handling and Confidentiality
Publishers acknowledge that operational data may be transmitted through partner systems, including Avid Technology, Nodals.ai, and The Outcome Network, for analytics or reporting purposes.
All such data remains contextual and non-personal.
We and our partners will maintain confidentiality and implement reasonable technical and organisational safeguards.
Publishers agree to maintain confidentiality of all campaign data and not to share platform access or materials with unauthorised parties.
14. Service Continuity and Changes
Alliance Engage depends on the continued operation of technology partners, including Avid Technology (Avid PubSuite).
We reserve the right to modify, suspend, or discontinue elements of the service if a partner alters or ceases its offering.
Publishers will not be entitled to compensation or damages in such cases.
15. Intellectual Property
All intellectual property rights in the Avid PubSuite platform and related technologies remain the property of Avid Technology.
Publishers are granted a limited, revocable right to use these tools solely for the purposes of campaign management and reporting under the Alliance Engage framework.
All creative materials, reports, or outputs produced as part of campaigns remain the property of their respective owners.
16. Third-Party Partners and Services
The Alliance Engage service involves multiple technology and data partners, including Nodals.ai, The Outcome Network, and Avid Technology (“Partners”), partners may change at any time.
These Partners operate as independent entities.
We:

do not control or guarantee the performance or compliance of any Partner;

are not liable for any loss, delay, or failure caused by their actions or omissions; and
-
will ensure that all Partners operate under data protection and confidentiality agreements.
Publishers must not establish direct contractual relationships with Partners in connection with Alliance Engage.
17. Limitation of Liability
Our total liability to You under these Terms shall not exceed the total amount of revenue paid to You in the three months preceding the event giving rise to the claim.
Neither party shall be liable for indirect, consequential, or special damages, including loss of profits or business opportunity.
We are not liable for downtime, data errors, or loss arising from the actions or systems of third-party partners, including Avid Technology, Nodals.ai, or The Outcome Network.
18. Indemnity
You agree to indemnify and hold Us harmless from any claims, damages, or losses arising from:

breach of these Terms;

unlawful or infringing content; or
-
misuse of third-party technology or data.
19. Confidentiality
All non-public business, financial, or campaign-related information shared between parties shall remain confidential and not be disclosed to third parties, except where required by law or necessary to fulfil campaign obligations.
20. Entire Agreement
These Terms, together with any associated IOs, constitute the entire agreement between You and Us regarding participation in Alliance Engage.
Any amendment or modification must be made in writing and approved by both parties.
21. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
